Batenburg Beheer N.V. shares have been listed on Euronext N.V. in Amsterdam since 1956. The shares are included in the category "local shares". In 2008, the price of Batenburg Beheer N.V. shares fell by 32.7% owing to the anxiety that significantly affected financial markets in the latter half of that year. In the same period, the AEX Index plummeted by 52.3%.
On 6 June 2008, the ordinary shares were split in a ratio of 1:2 with the purpose of making the shares more attractive and improve their marketability. At year-end 2008, 2,408,244 ordinary shares were accordingly issued at a nominal value of EUR 0.40. No shares were issued and no treasury stock was purchased in the year under review. To promote the marketability of Batenburg Beheer N.V. shares, SNS Securities continued to act as liquidity provider in 2008.

Batenburg Beheer N.V.'s dividend policy is aimed at offering shareholders an attractive dividend yield and to distribute a cash dividend annually of at least 40% of net income. It is proposed to distribute 48% of the net income for 2008 to shareholders. The dividend for the year under review will accordingly amount to EUR 1.20 per share and is therefore unchanged from 2007. Based on the price at close of business on 31 December 2008, the dividend yield amounted to 6.3%.
Price-sensitive information and disclosure of major holdings
On the subject of price-sensitive information, Batenburg Beheer N.V. has drawn up a protocol based on the model of the Association of Securities-Issuing Companies (VEUO), as approved by the Netherlands Authority for the Financial Markets (AFM). The Batenburg Beheer Regulations on ownership of and Transactions in Securities include a clause prohibiting trading in the run-up to the publication of the annual figures and the publication of the half-year figures. These regulations are available on the website of the company.
Based on the Disclosure of Major Holdings Act 2006 the AFM keeps a register of Substantial Holdings. Shareholders are required to disclose holdings in issuing institutions as soon as these total 5% or more of the issued capital. Such holdings must then be disclosed again to the AFM as soon as they reach, exceed or decrease below a certain threshold.
